[War Incident] News Bird Control Shareholder Sell Shares "Separation"

The company announced today that it had recently informed the controlling shareholder of the news bird group that it had signed the share pfer agreement with Wu Tingting, Wu Zhensheng and Chen Yifan respectively in August 27th, and pferred 87 million 900 thousand shares of the company's shares by agreement, accounting for 15% of the total share capital of the company.

The pfer price is 4.48 yuan per share, which is 60% of the latest stock price.

Wu Tingting, Wu Zhensheng and Chen Yifan are the associated persons of the pferor's newspaper bird group, including the chairman of the Wu Tingting company and the director of the wedding bird group.

Wu Zhize directly owns 10.04% of the listed company's stock and directly owns 32% stake in the news bird group.

The original director of a listed company directly owns 3.95% of the listed company's stock and directly owns 20% stake in the newspaper bird group.

Chen Yifan is the general manager of the news bird group and the son of Chen Zhangyin, the former director of the listed company. Chen Zhangyin directly owns 0.84% of the listed company's stock and directly owns 20% stake in the wedding bird group.

The announcement did not elaborate on the background and purpose of the pfer of the agreement. For the reduction group, it only indicated that it was based on its own business development needs. The pferee was based on confidence in the future development of the listed company and will not continue to increase its shares in the next 12 months.
